One of the major decisions was to increase the company’s authorised share capital from Rs 20,00,00,000 to Rs 26,00,00,000, subject to shareholder approval through a Postal Ballot. Alongside this, the Board recommended amending Clause V of the Memorandum of Association to reflect the revised capital structure, also requiring shareholder consent via Postal Ballot.

The Board further approved the issuance of fully paid-up bonus shares in the ratio of 1:2, meaning one bonus share for every two existing equity shares held, using the Securities Premium account. Approximately 8,60,38,000 bonus equity shares of Rs 1 each will be issued, utilising Rs 8,60,38,000 from the available Rs 10,00,00,000 Securities Premium balance as of March 31, 2025. Post-allotment, the company’s paid-up equity share capital will rise from Rs 17,20,76,000 to Rs 25,81,14,000. The bonus shares will carry the same rights as existing equity shares and will be credited or dispatched within two months from the date of board approval.
The company also approved the draft notice for the Postal Ballot, appointing M/s Daxa Negi & Associates, Practising Company Secretary, as the Scrutiniser for the process, including remote e-voting, ensuring transparency and fairness.
