The company clarified that the arrangement is non-exclusive and does not constitute a joint venture or guarantee any minimum business, revenue or financial commitment. Individual projects, if awarded, will be governed by separate project-specific agreements. Under the agreement, Dharan International will identify and coordinate project opportunities, while Kalind Limited will provide technical expertise, approved credentials and execute agreed subcontract work upon successful project awards.

Three-Year Agreement

The agreement has an initial tenure of three years and will be automatically renewed for successive one-year periods unless terminated in accordance with its terms. The company also stated that the transaction is not a related-party transaction and will not result in any change in the management or control of the company.

According to Kalind Limited, the agreement is expected to improve its ability to participate in infrastructure projects across Africa. However, the company noted that it does not assure any immediate order, revenue or financial commitment, as future business will depend on the successful award and execution of individual projects.
