Sahana System Board Approves 1:5 Bonus Share Allotment

The Board approved the allotment of 17,67,421 bonus equity shares of face value Rs 10 each in the ratio of 1:5, meaning shareholders received one bonus equity share for every five existing equity shares held as on the record date of July 31, 2026.

Following the allotment, the company's paid-up equity share capital increased from 88,37,104 equity shares to 1,06,04,525 equity shares. The bonus shares will rank pari-passu with the existing equity shares in all respects.

Semiconductor Subsidiary Approved\

The Board also approved the incorporation of a new subsidiary, Sahana Semi-Conductors Limited (or such other name as may be approved by the authorities), marking the company's entry into the semiconductor industry.

The proposed subsidiary will focus on the design and fabrication of semiconductors and semiconductor devices. Sahana System will subscribe to 6,000 equity shares, representing a 60 per cent stake, through a cash investment of Rs 60,000, while Promoter Pratik Kakadia will subscribe to the remaining 40 per cent stake. Upon incorporation, the new entity will become a subsidiary of Sahana System.

Registered Office Shifted

The Board also approved shifting the company's registered office within Ahmedabad from Maple Trade Centre, Thaltej to Sahana House, Meridian Square, Hebatpur Road, Thaltej, with effect from August 4, 2026.

Recently Secured Rs 69.51 Crore RailTel Project

Earlier, the company received a Provisional Letter of Intent (PLOI) from RailTel Corporation of India Limited, a Navratna PSU under the Ministry of Railways, for an Integrated Gate Automation System (IGAS) project at Deendayal Port Authority, Kandla.

The project is valued at Rs 69.51 crore (including GST) and covers the design, supply, installation, testing, commissioning, and five years of operations and maintenance. The project tenure is five years from the date of the purchase order.
