As per the share exchange ratio, 453 fully paid-up equity shares of Kavveri Defence & Wireless Technologies, having a face value of Rs 10 each, will be issued for every one fully paid-up equity share of Samoro Telecoms Private Limited, also having a face value of Rs 10 each.

Samoro Telecoms is engaged in manufacturing professional-grade microwave components for the telecommunication, defence and space industries. Kavveri Defence & Wireless Technologies operates across microwave components, RF products, telecommunication equipment, wireless communication systems, defence electronics, Aerospace and space technology solutions.

The proposed amalgamation is expected to create business and operational synergies by pooling manufacturing capabilities, technical expertise, research and development, intellectual property, product portfolios and customer relationships. The company expects the combination to improve operational efficiency, optimise resource utilisation and create additional growth opportunities.

The merger will also give the existing promoter group a substantially stronger position in the listed entity. However, the proposed scheme remains subject to approvals from the respective shareholders and creditors, requisite regulatory approvals and sanction from the jurisdictional bench of the National Company Law Tribunal (NCLT). Approvals from stock exchanges and other competent authorities may also be required as directed by the NCLT.
