Dixon, Gemtek Sign Binding Term Sheet

Dixon Technologies (India) Limited, Gemtek Technology Co., Ltd., and Dixon Electroconnect Private Limited have entered into a binding term sheet for setting up a proposed joint venture in India. The venture will focus on the manufacturing and supply of Optical Transceiver – SFP (Small Form-factor Pluggable), BOSA (Bidirectional Optical Subassembly), and other telecom products as may be mutually agreed by the parties.

Under the proposed structure, Dixon will hold a 60 per cent stake in Dixon Electroconnect, while Gemtek will hold the remaining 40 per cent stake upon completion of the transaction. Currently, Dixon Electroconnect is a wholly owned subsidiary of Dixon Technologies.

Joint Venture Focuses on Data Centres And Optical Connectivity

The proposed joint venture marks Dixon's entry into the data centre, telecom and optical connectivity ecosystem.

The partnership aims to combine Dixon's manufacturing capabilities with Gemtek's expertise in optical modules, telecom infrastructure and networking technologies. The companies plan to manufacture optical transceivers, BOSA modules and advanced networking equipment to cater to the growing demand driven by artificial intelligence (AI), cloud computing, edge computing, hyperscale data centres and next-generation communication networks.

Commenting on the development, Atul B. Combining Dixon’s large-scale manufacturing capabilities with Gemtek’s global expertise in high speed optical modules, telecom infrastructure & networking technologies, the proposed joint venture will manufacture optical transceivers, BOSA modules and advanced networking equipment to address the growing demand driven by AI, cloud & Edge computing, hyperscale data centres, high speed networking and next gen optical communication solutions."

ECMS Benefit And Regulatory Approvals

The company stated that Dixon Electroconnect is a beneficiary under the Electronics Components Manufacturing Scheme (ECMS), which is expected to support the venture's manufacturing ambitions.

The transaction remains subject to the execution of definitive agreements, fulfilment of customary conditions precedent and receipt of statutory and regulatory approvals.
