Mphasis Acquires Remaining 49% Stake in Mrald Limited (UK)

By consolidating its ownership, Mphasis aims to further enhance its digital insurance broking capabilities.

Mphasis Ltd has announced that its wholly owned subsidiary, Mphasis Consulting Limited, UK, has acquired the remaining 49 per cent stake in Mrald Limited (MRL) from its joint venture partner, Ardonagh Services Limited. This acquisition was executed by exercising a call option at the conclusion of a five-year agreement period. Following this cash-based transaction, MRL has transitioned from a joint venture into a step-down wholly owned subsidiary of Mphasis Ltd. Since Mphasis already maintained operating control and 100 per cent beneficial interest, the company stated that the move is not expected to alter the economic model of the venture but reflects its readiness to address the insurance intermediaries market independently.

Mrald Limited is an information technology solutions provider specialising in operational support and digital transformation services for reinsurers and insurance intermediaries. Its service suite includes client administration, claims processing and data management, which has seen significant financial growth with turnover rising from Rs 16.76 crore in FY23 to Rs 83.99 crore in FY25. By consolidating its ownership, Mphasis aims to further enhance its digital insurance broking capabilities. Although the ownership structure has changed, Ardonagh Services Limited remains a key customer and all existing service agreements continue without modification.
