HCLTech Signs 7-Year Strategic Agreement

HCLTech announced a new seven-year partnership with The Guardian Life Insurance Company of America aimed at accelerating Guardian's AI-powered modernisation across technology and operations. The expanded collaboration will focus on digital transformation, platform modernisation, technology innovation, engineering excellence and operational transformation to reduce costs, improve customer and advisor experience, and accelerate time to market.

As part of the agreement, HCLTech will expand the deployment of its AI Service Transformation Platform, AI Force, to develop and deploy agentic AI capabilities aligned with Guardian's product operating model.

Acquires Guardian India Operations for USD 10.5 Million

The company also announced the acquisition of 100 per cent equity stake in Guardian India Operations Private Limited for a cash consideration of USD 10,500,000. The transaction is expected to be completed on August 1, 2026, subject to customary closing conditions.

Guardian India serves as Guardian's Technology and Operations Global Capability Centre (GCC), providing technology, engineering and operational support across the Group Benefits, Retirement and Wealth Management businesses. The acquisition is not a related-party transaction and does not require regulatory approvals.

Following the completion of the acquisition, around 2,000 employees are expected to transition to HCLTech through a dedicated Strategic Business Unit that will exclusively support Guardian. The new unit will focus on technology innovation, engineering capabilities and operational transformation, while Karunakaran Azhisur, Country Head of Guardian India, will join HCLTech to lead the business unit.

Guardian India Financial Performance

According to the unaudited financial statements, Guardian India Operations Private Limited reported revenue of Rs 578.8 crore in FY2026, compared with Rs 483.2 crore in FY2025, reflecting a 19.78 per cent YoY increase. The company had reported revenue of Rs 493.5 crore in FY2024.
