Tata Chemicals Ltd on August 29 informed the stock exchanges that its wholly owned subsidiary, Tata Chemicals North America Inc. (TCNA), has been declared the successful bidder in the Chapter 11 Bankruptcy proceedings of Searles Valley Minerals Inc. (SVM), U.S. TCNA will acquire certain North American soda ash customer contracts of SVM, representing customer orders of more than 0.5 million metric tonnes through December 2028.
As part of the transaction, TCNA has entered into an Assignment and Assumption Agreement (ASA) with SVM for the acquisition of specified soda ash customer contracts and related commercial rights. The transaction also includes customer information, demand forecasts, Logistics records and associated contract benefits relating to customers located in North America.
The United States Bankruptcy Court for the District of Delaware has approved the assignment and assumption of the specified customer contracts from SVM to TCNA under the ASA. The acquired contracts are expected to be serviced from September 2026 through December 2028, subject to the respective contractual terms and applicable closing conditions.
The aggregate cash consideration for the transaction is USD 21.16 million. Tata Chemicals said the acquisition will strengthen TCNA's customer portfolio by securing domestic North American customers, enhancing its ability to build long-term customer relationships and improve customer retention. The company expects the transaction to support long-term value creation.
The contracts are being acquired from an international entity, SVM, pursuant to the order of the U.S. Bankruptcy Court. Tata Chemicals clarified that neither the promoter, promoter group nor group companies have any interest in SVM or in the customer contracts being acquired under the ASA.
The company also stated that the transaction does not constitute a related party transaction and is therefore not covered under the related party transaction provisions of the SEBI Listing Regulations.
Tata Chemicals' shares ended Friday's session at Rs 655.75, up 1.80 per cent. The stock has declined 28.63 per cent over the past one year.
