Bosch Limited’s automotive products business generated nearly 89 per cent of consolidated external turnover in FY2025-26, while June-quarter sales rose 22 per cent YoY on broad-based momentum in mobility businesses. Against this operating backdrop, the company’s Board of Directors will consider proposals to subdivide its equity shares and issue Bonus shares at a meeting on November 6, 2026.
The proposed share subdivision would apply to Bosch’s existing equity shares with a face value of Rs 10 each. The company said the proposal will be considered under the Companies Act, 2013, related rules and the Securities and Exchange Board of India (SEBI) Listing Obligations and Disclosure Requirements Regulations, 2015.
Bosch May Announce Bonus Shares After 40 Years and Stock Split After 22 Years
Bosch Limited has announced that its Board of Directors will meet on November 6, 2026, to consider a bonus share issue and a stock split. If approved, this would mark the company's first bonus share issue in nearly 40 years, as its last bonus was issued in September 1986 in a 1:1 ratio. The company last split its shares in 2004, nearly 22 years ago, when it reduced the face value from ₹100 to ₹10 per share. The stock began trading on an ex-split basis on July 8, 2004. Currently, Bosch shares have a face value of ₹10 each. The proposed bonus issue and stock split will be subject to shareholder approval, while the ratios have not yet been announced.
Bosch Limited has undertaken only one stock split in its history. The company split the face value of its equity shares from Rs 100 to Rs 10 in 2004, representing a 1:10 stock split. As a result, shareholders received 10 shares for every one share held before the split, without any change in the total value of their investment at the time of the split. The stock began trading on an ex-split basis on July 8, 2004, while the record date was July 16, 2004. Since then, Bosch has not announced any further stock splits.
The board will also consider issuing bonus shares under the Companies Act and the SEBI Issue of Capital and Disclosure Requirements Regulations, 2018. Both proposals remain subject to shareholder approval. Bosch added these agenda items through a disclosure made to BSE and the National Stock Exchange of India on November 2. The meeting itself had been notified earlier on September 28.
The capital-structure proposals come after a year of higher revenue and operating profit for the Bengaluru-headquartered automotive technology and industrial products company. Consolidated revenue from operations increased 10.8 per cent to Rs 20,034.7 crore in FY2025-26. Earnings before interest, Tax, depreciation and amortisation rose to Rs 3,504.4 crore, representing a margin of 17.5 per cent.
Bosch’s growth remains closely tied to automotive demand, vehicle technology content and its ability to serve original equipment manufacturers and the aftermarket. Its automotive products segment reported turnover of Rs 17,807.4 crore in FY2025-26, while Power Solutions, two-wheeler and powersports, and mobility aftermarket businesses supported the June-quarter performance. The group had no interest-bearing borrowings as of March 31, 2026.
As of 9:19 am on November 3, 2026, Bosch shares were trading at Rs 49,516. The stock was 3.38 per cent higher than its previous close and stood about 1.2 per cent above its earlier 52-week high of Rs 48,950. Over one year, the shares had gained 22.16 per cent, compared with a 6.52 per cent decline in the BSE 500.
What This Means for Investors
The proposed actions are capital-structure measures rather than operating investments. If approved, they would change Bosch’s share denomination and share count, while leaving its underlying mobility, aftermarket and power-tools execution unchanged. That execution has been strong. Consolidated FY2025-26 revenue rose 10.8 per cent to Rs 20,034.7 crore, and the group was debt-free as of March 31, 2026. The proposal therefore comes from a financially well-capitalised business rather than reflecting a funding requirement.
For investors, the immediate significance is limited until the board determines the terms and shareholders approve them. The more consequential issue is whether Bosch can sustain automotive technology-content growth and margins amid commodity, geopolitical and supply-chain volatility. At 59.78 times trailing twelve-month earnings, the valuation already reflects substantial expectations of durable execution. A share subdivision or bonus issue can reshape the stock’s capital structure, but it does not independently add revenue, cash flow or profitability.
