Arambhveer launches Rs 13.12 crore open offer for control of Mapro Industries
Arambhveer Limited and its persons acting in concert have launched an open offer for 26 per cent of Mapro Industries after agreeing to buy a 26.05 per cent stake from promoter Sandeep Gupta.
✨ Key Takeaways
Arambhveer Limited has launched a mandatory cash open offer to acquire up to 21,81,121 equity shares, representing 26 per cent of Mapro Industries Limited’s voting share capital, at Rs 60.13 per share. The offer, made jointly with persons acting in concert, Pandurang Ashru Kolbhor, Shrimant Ramesh Aurade and Geetanjali Vijay Gavali, could entail a maximum payout of Rs 13.12 crore if fully accepted.
The open offer follows a share purchase agreement signed on September 24, 2026, under which Arambhveer will acquire 21,85,430 shares, or 26.05 per cent of Mapro, from seller Sandeep Gupta and the company at Rs 30 per share. That transaction is valued at Rs 6.56 crore.
Following completion of the share purchase, Arambhveer and the persons acting in concert are expected to hold 22,01,281 shares, or 26.24 per cent, of Mapro’s voting capital. A full acceptance of the open offer would raise their collective holding to 43,82,402 shares, or 52.24 per cent, giving the incoming group majority ownership and control over the listed company’s management.
The proposed deal marks a potentially consequential change for Mapro, a Mumbai-based company engaged in executing civil Construction contracts through subcontracting. Its annual report describes a contract-led business where project execution, compliance with construction standards and timely completion are important, since delays can attract penalties and failure to meet commitments can expose the company to blacklisting risks.

Any such move would be subject to legal requirements, capital availability, commercial feasibility and expediency. The acquirer has said it does not currently propose material changes to Mapro’s employee structure or business locations, and intends to retain the company’s listing status. No delisting offer has been proposed.
The scale of the proposed open offer is notable relative to the acquirer’s financial position. Arambhveer reported a net worth of Rs 19.86 crore as of September 23, 2026. The maximum open-offer consideration alone is equivalent to about 66 per cent of that net worth. The company has deposited Rs 3.50 crore in cash in an escrow account, representing 26.69 per cent of the maximum offer consideration, and said the transaction would be funded through its own cash, unencumbered Bank balances and liquid investments, without bank or financial institution borrowings.
For Mapro, the ownership change comes after an improvement in reported profitability, though its revenue base remains modest. Total income rose to Rs 1.59 crore in FY26 from Rs 0.93 crore in FY25, while profit after Tax increased to Rs 0.31 crore from Rs 0.27 crore. Revenue from operations, however, was only Rs 0.17 crore in FY26, with other income contributing Rs 1.41 crore to total income. In the quarter ended June 30, 2026, the company reported total income of Rs 0.37 crore and profit after tax of Rs 0.26 crore.
As of 2:57 pm on October 14, 2026, Mapro Industries shares were trading at Rs 79.25, up 1.99 per cent from the previous close of Rs 77.70. The market price was about 24.1 per cent above the open-offer price of Rs 60.13, while remaining roughly 13.9 per cent below its 52-week high of Rs 92.05.
The draft letter of offer is dated October 9, 2026. The tendering period is scheduled to begin on November 19, 2026, and close on December 3, 2026. The identified date for eligible shareholders is November 4, 2026, while payment of consideration or return of shares is tentatively scheduled for December 17, 2026.
