AXISCADES clears up to USD 7 million ITSJ asset purchase to build Silicon Valley AI-infrastructure base

AXISCADES Technologies has approved a proposed acquisition of substantially all ITSJ Group assets through XIDA, seeking Silicon Valley customer access in semiconductor equipment and data-centre infrastructure.

✨ Key Takeaways

AXISCADES Technologies has approved the proposed acquisition of substantially all business assets of San Jose-based precision engineering and electronics manufacturer ITSJ Group, Inc. through XIDA Inc., its US AI-infrastructure platform.

The proposed transaction carries consideration of up to USD 7 million, or about Rs 67 crore. This includes USD 2.5 million payable in cash at completion, while the remaining amount comprises XIDA shares that vest over 30 months and an earn-out of up to USD 2 million linked to customer, revenue and margin targets.

The board approved the proposal on October 14, 2026, and the company disclosed it on October 15. The transaction remains conditional on definitive agreements, conditions precedent and regulatory or other approvals. AXISCADES said there is no certainty that the deal will close on the proposed terms, timeline or at all.

The asset-purchase structure means ITSJ’s legacy liabilities will remain with the seller. For AXISCADES, the principal attraction is ITSJ’s established supplier position with Semiconductor-equipment and data-centre customers, markets where qualification cycles can be lengthy and customer access difficult to establish.

ITSJ supplies sub-systems to two of the world’s top-five semiconductor-equipment manufacturers and a leading hyperscale data-centre operator. It also has live purchase orders, according to AXISCADES. Founded in 2023, ITSJ has built capabilities in precision machining, PCB design and assembly, cable and box build, electrical cabinets, cable-and-harness assemblies and full-system integration from prototype through production.

The proposed acquisition is relatively modest in financial size compared with AXISCADES’ operating base, but strategically aligned with its shift towards manufacturing, systems integration and higher-value product realisation. The maximum consideration of about Rs 67 crore is equivalent to roughly 5.8 per cent of the company’s FY2026 consolidated revenue of Rs 1,158.95 crore.

XIDA plans to use ITSJ’s San Jose operations as a Silicon Valley front end, while drawing on AXISCADES’ India-based engineering and manufacturing capabilities for delivery and scale. The company said this combination could also provide greater resilience against tariffs and changing global trade patterns by linking US customer access with Indian engineering capacity.

Dr S. Ravi Narayanan, Chairman of AXISCADES Technologies, said ITSJ gives XIDA supplier positions across chip-making equipment and data-centre infrastructure. ‘ITSJ is XIDA’s gateway to both, supplier positions in Silicon Valley that take years to earn, ours from day one,’ he said.

The deal also extends XIDA’s focus on the physical infrastructure supporting AI deployment, particularly semiconductor-equipment sub-systems and data-centre cooling and infrastructure. This complements AXISCADES’ existing electronics, embedded-systems and engineering platform.

The strategic push comes during a period of portfolio restructuring and uneven near-term financial performance. In the June 2026 quarter, AXISCADES reported net sales of Rs 183.35 crore, down 24.77 per cent year-on-year, while PBIDT excluding other income fell to Rs 8.69 crore from Rs 34.06 crore a year earlier. The company posted a net loss of Rs 7.04 crore for the quarter.

Management has said it is using divestment proceeds and targeted acquisitions to build manufacturing capabilities across Aerospace, Defence, electronics and AI infrastructure. The ITSJ transaction will therefore need to demonstrate timely customer conversion, integration and margin delivery, particularly because part of the consideration is tied to future performance milestones.

As of 9:59 AM on October 15, 2026, AXISCADES shares were trading at Rs 2,020.00, down 3.6 per cent from the previous close of Rs 2,095.35. The stock has gained 28.91 per cent over the preceding year, compared with a 5.86 per cent decline in the BSE 500.
