Sammaan Capital informed exchanges that Avenir Investment RSC Ltd, which is owned and controlled by International Holding Company PJSC (IHC), has been classified as a promoter of the company following completion of the investment and open offer process.
The company stated that Sammaan Capital has now formally become an IHC Group company, with IHC emerging as the promoter and controlling shareholder.
Rs 8,850 Crore Strategic Investment
According to the company, the total investment by IHC Group in Sammaan Capital will aggregate to around Rs 8,850 crore upon full exercise and conversion of subscription warrants, making it one of the largest foreign direct investments in the Indian NBFC sector.
Sammaan Capital has already received around Rs 5,652.75 crore towards subscription to equity shares and warrants. The remaining Rs 3,197.25 crore will be payable upon exercise and conversion of the warrants on or before September 30, 2027.
Following completion of the preferential allotment and open offer, IHC currently holds 28.41 per cent stake in Sammaan Capital. Upon full conversion of warrants, the shareholding is expected to increase to around 41.24 per cent on a fully diluted basis.
