The Business Transfer Agreement is expected to be executed on or before August 7, 2026, while the transaction is proposed to be completed on or before January 31, 2027, subject to the fulfilment of customary conditions and regulatory approvals.

According to the company, combining Mahindra Truck & Bus Division with SML Mahindra will create a unified Truck & Bus business within the Mahindra Group, strengthening its presence across light, intermediate and heavy commercial vehicles, as well as buses.
The combined business is expected to benefit from greater scale, wider market coverage, a stronger product portfolio and improved operational efficiencies, enabling the company to build a future-ready commercial vehicle platform capable of delivering sustainable long-term growth.
Mahindra & Mahindra Business Details
The Truck & Bus Division generated Rs 2,989 crore in total income during FY26, representing approximately 2.02 per cent of Mahindra & Mahindra's total income from operations. The company's investment in the division stood at around Rs 481 crore, accounting for nearly 0.65 per cent of its total net worth as of March 31, 2026.
SML Mahindra, formerly SML Isuzu Limited, is a listed company with a strong presence in India's truck and bus segment and holds a leading position in the Intermediate and Light Commercial Vehicle (ILCV) bus market. The transaction has been classified as a related-party transaction, but the company stated that it is being undertaken on an arm's length basis.

Mahindra Group CEO and Managing Director Dr. Anish Shah said the transaction simplifies the group's commercial vehicle business by consolidating truck and bus operations under SML Mahindra, creating a focused entity dedicated to growth and leadership in the commercial vehicle sector.

Manufacturing to Continue with M&M
Following the transfer, Mahindra-branded truck and bus manufacturing will continue to be undertaken by Mahindra & Mahindra under a contract manufacturing arrangement, ensuring continuity of production and supply. At the same time, the combined business operates through SML Mahindra.
