Pavna Industries completes sale of 50.74 per cent stake in Pavna Auto Engineering for Rs 8.80 crore

Pavna Industries has completed the Rs 8.80 crore sale of its entire stake in Pavna Auto Engineering to promoter-group member Priya Jain, ending the latter’s status as a direct subsidiary.

✨ Key Takeaways

Pavna Industries Ltd has completed the disinvestment of its entire 50.74 per cent holding in Pavna Auto Engineering Pvt Ltd, or PAEPL, for Rs 8,79,72,057. The buyer is promoter-group member Mrs Priya Jain, making the transaction a related-party deal that the company said was executed at arm’s length based on a valuation report.

The transfer of 30,901 equity shares was completed on October 13, 2026, following the sale agreement signed on September 23, 2026. PAEPL ceased to be a direct subsidiary of Pavna Industries from the completion date.

The transaction is relatively modest in revenue terms but removes a loss-making subsidiary from Pavna Industries’ direct group structure. PAEPL recorded turnover of Rs 15.34 crore during the last financial year, equivalent to 5.40 per cent of Pavna Industries’ standalone financials. Its total income was Rs 15.54 crore, or 5.42 per cent of standalone income, while its net worth of Rs 17.79 crore represented 9.07 per cent of the parent’s standalone net worth.

In FY 2025-26, PAEPL reported a loss after Tax of Rs 1.12 crore on turnover of Rs 15.34 crore, according to Pavna Industries’ annual report. This places the disposal in the context of a broader effort to sharpen the company’s focus on its core automotive-component operations.

Pavna Industries said the sale was outside a scheme of arrangement and is expected to help unlock shareholder value, optimise its investment portfolio, improve capital efficiency and liquidity, and strengthen the balance sheet. The company added that sale proceeds would be used to support its core business and could be reinvested in higher-growth opportunities in the two-wheeler and three-wheeler automotive industries.

The move is consistent with the company’s previously disclosed plans to exit selected non-core investments. Its FY 2025-26 annual report had referred to a proposed divestment of holdings in both PAEPL and Swapnil Switches Pvt Ltd, another subsidiary in which Pavna Industries held a 50.74 per cent stake on March 31, 2026.

Pavna Industries manufactures locks, auto locks and automotive parts, supplying products used across two-wheelers, three-wheelers, four-wheelers, light commercial vehicles and tractors. Its portfolio includes ignition switches, fuel tank caps, fuel cocks, pumps, chain tensioners and casting components.

The company’s consolidated revenue from operations declined 3.6 per cent year-on-year to Rs 297.04 crore in FY 2025-26, while profit after tax fell to Rs 5.29 crore from Rs 8.04 crore in the preceding year. Working-capital requirements also weighed on cash generation during the year, with the company reporting a net operating cash outflow of Rs 92.34 lakh.

As of 2:16 pm on October 13, 2026, Pavna Industries shares were trading at Rs 14.51, down 3.01 per cent from the previous close of Rs 14.96. The stock was only about 1.7 per cent above its 52-week low of Rs 14.27 and around 63.2 per cent below its 52-week high of Rs 39.38.

Over the past year, the stock has declined 60.09 per cent, compared with a 6.29 per cent fall in the BSE 500, indicating an underperformance of about 53.8 percentage points. The completed PAEPL disposal now gives investors a clearer indication of how Pavna Industries intends to redeploy capital towards its core auto-component business and selected higher-growth vehicle segments.
