SG Finserve expands digital and financial-services platform as board clears September results

SG Finserve approved its September quarter results while outlining investments in AI capabilities, shared services, insurance broking, alternative funds and a proposed GIFT City finance company.

✨ Key Takeaways

SG Finserve's board has approved the company's unaudited standalone and consolidated financial results for the quarter and half year ended September 30, 2026, alongside a set of investments aimed at broadening its technology and financial-services platform.

The board, which approved the results on October 16 following an Audit Committee review, also cleared a plan to invest up to USD 5 million, or about Rs 48 crore, in setting up a wholly owned finance company in GIFT City. The proposal remains subject to regulatory and statutory approvals, with the Finance Committee authorised to complete the investment and incorporation process.

For an NBFC focused on supply-chain finance for MSMEs, the GIFT City proposal signals a longer-term push beyond domestic lending operations. Management had earlier described the initiative as a potential route to serve international supply-chain opportunities linked to clients' inbound and outbound trade flows, though it had also cautioned that approvals and implementation would take time.

The company is simultaneously building new domestic capabilities. SG Finserve incorporated SG Insurance Brokers Limited and SG Alternative Investment Fund Limited as wholly owned subsidiaries during the September quarter. These entities had combined assets of Rs 2 crore as of September 30, 2026, reported no revenue and recorded a combined comprehensive loss of Rs 0.27 crore. The subsidiaries have not commenced commercial operations.

The September quarter was therefore the first period for which SG Finserve presented consolidated financial results. There are no comparative consolidated figures for earlier periods.

The board also approved the acquisition of a 15.5 per cent stake in Succesship Technologies Private Limited for Rs 4.65 crore in cash, with completion targeted by March 31, 2027. Succesship, an IT services company, recorded turnover of Rs 0.53 crore in FY2025-26.

SG Finserve said the proposed investment would strengthen in-house artificial intelligence and digital capabilities for captive supply-chain financing and digital lending, while enabling AI-based services for corporate and MSME customers. This fits with its existing strategy of using technology integration, transaction visibility and digital workflows to support supply-chain lending.

Separately, the company will acquire a 24.5 per cent stake in SG Enterprise Solutions Private Limited from related party SG Green Buildings Private Limited for Rs 1.225 lakh. The transaction, involving 12,250 equity shares, is expected to be completed by December 31, 2026. SG Enterprise Solutions, incorporated on September 10, 2026, is intended to operate as a group shared-services entity. Following the acquisition, it will become an associate of SG Finserve.

The company said the promoters of SG Finserve and their immediate relatives hold more than 20 per cent in SG Green Buildings, making the transaction a related-party acquisition.

On the funding side, SG Finserve transferred Rs 2.01 crore to its Impairment Reserve during the September quarter, compared with Rs 1.83 crore in the June quarter. The reserve stood at Rs 10.64 crore at September-end. The company also repaid Rs 30 crore of commercial papers during the quarter, after having fully repaid Rs 50 crore of secured redeemable non-convertible debentures in the June quarter. It issued fresh commercial papers worth Rs 30 crore on October 1.

At the end of the September quarter, the company had 12 projects under implementation with outstanding exposure of Rs 434.88 crore.

The developments follow a strong June quarter, when SG Finserve reported standalone profit after Tax of Rs 53.68 crore, up 119 per cent year-on-year, while net sales rose 101 per cent to Rs 136.11 crore. The company has previously said it is targeting AUM growth of 35 per cent to 40 per cent in FY2026-27, while maintaining underwriting discipline in its supply-chain finance book.

As of 2:37 pm on October 16, 2026, SG Finserve shares were trading at Rs 658, down 5.24 per cent from the previous close. The stock was about 7.2 per cent below its 52-week high of Rs 709.15, although it had gained 88.99 per cent over the preceding year compared with a 5.17 per cent decline in the BSE 500.
