Importantly, the company clarified that there was no change in the decisions or resolutions approved by the Board at its August 27 meeting.

Material Related-Party Transactions Approved

One of the key developments was the Board's approval of material related-party transactions proposed to be undertaken during FY 2026-27, subject to shareholder approval.

GNG Electronics has approved transactions with Electronics Bazaar FZC, its subsidiary, involving the sale of goods or rendering of services, service income, foreign exchange gains/losses and corporate guarantees, with a maximum transaction value of up to Rs 820 crore. The company has also approved personal guarantees of up to Rs 200 crore each from promoter Sharad Khandelwal and promoter Vidhi S Khandelwal.

Further, Electronics Bazaar FZC may undertake transactions of up to Rs 700 crore with Bright World Technologies Inc., its wholly owned subsidiary and a step-down subsidiary of GNG Electronics. These transactions include the sale of goods or rendering of services and purchases of goods or material.

Another transaction involving Electronics Bazaar FZC and Kay Kay Overseas Corporation, its wholly owned subsidiary and a step-down subsidiary of GNG Electronics, has been approved with a maximum value of up to Rs 500 crore.

Director Reappointed; Secretarial Auditor Appointed

The Board approved the reappointment of Mr. Ajay Pancholi as a Non-Executive Non-Independent Director, effective August 27, 2026. He is liable to retire by rotation and offered himself for reappointment.

According to the filing, Pancholi holds a Bachelor of Commerce degree and is a member of the Institute of Chartered Accountants of India and the Institute of Company Secretaries of India. He has more than 25 years of experience as an investment Banker and is currently associated with Aelius Ace Solutions LLP as a partner.

The company also approved the appointment of M/s N N J & Co., Practicing Company Secretaries, as its Secretarial Auditor for five consecutive financial years from FY 2026-27 to FY 2030-31, subject to approval from the company's members at the ensuing Annual General Meeting.

20th Annual General Meeting Scheduled for September 24

GNG Electronics has approved the notice for its 20th Annual General Meeting, which will be held on Thursday, September 24, 2026, at 4:00 PM IST through video conferencing or other audio-visual means.

The company's register of members and share transfer books will remain closed from September 18 to September 24, 2026, both days inclusive. The remote e-voting period will begin on September 20 at 9:00 AM and close on September 23 at 5:00 PM. The cut-off date for determining shareholder eligibility for remote e-voting is September 17, 2026.

The Board also approved the Directors' Report, its annexures and the Management Discussion and Analysis Report for the financial year ended March 31, 2026.
