US Court Dismisses Criminal Charges

A US court has dismissed with prejudice the criminal charges against Adani Group Chairman Gautam Adani, Sagar Adani and former Adani Green Energy Chief Executive Officer Vneet Jaain, bringing the criminal proceedings to an end. The US District Court for the Eastern District of New York granted the US Department of Justice's Rule 48(a) motion to dismiss the indictment covering securities-fraud conspiracy, wire fraud conspiracy and securities fraud.

The criminal case originated in November 2024, when US prosecutors alleged that Gautam Adani, Sagar Adani, Vneet Jaain and others were involved in a conspiracy to pay USD 250 million in bribes to Indian government officials to secure Solar power contracts projected to generate more than USD 2 billion in after-Tax profits over two decades. Prosecutors also alleged that investors were misled while the group raised more than USD 3 billion through loans and bond issuances in US markets.

The Adani Group had consistently denied the criminal allegations, describing them as baseless and maintaining that it had acted in accordance with applicable laws and regulatory requirements.

The Justice Department said continuing the prosecution no longer served the interests of justice, citing jurisdictional and evidentiary challenges, the predominantly Indian nature of the alleged conduct, the fact that Indian authorities had examined the matter, the absence of identified investor losses and broader public-interest considerations. The Department also stated that the indictment had little realistic prospect of proceeding to trial and characterised it as a politically motivated "name and shame" exercise by the outgoing administration.

A dismissal with prejudice permanently closes the criminal proceedings and prevents the charges from being refiled. However, it does not amount to a judicial finding on the underlying allegations.

Separate SEC Civil Matter Resolved Through Final Judgment

Separately, Adani Green Energy disclosed that the US District Court for the Eastern District of New York entered a final judgment on consent on August 10, 2026, in relation to the civil complaint filed by the US Securities and Exchange Commission against Gautam Adani and Sagar Adani. The company disclosed the development to the stock exchanges on August 11, 2026, under Regulation 30 of the SEBI Listing Regulations.

Under the final judgment, Gautam Adani is required to pay a civil penalty of USD 6 million, while Sagar Adani is required to pay a civil penalty of USD 12 million. Both have been permanently restrained and enjoined from violating specified provisions of the US Securities Exchange Act of 1934 and the Securities Act of 1933. The final judgment was entered with their consent without admitting or denying the allegations made in the SEC's civil complaint.

The final judgment requires Gautam Adani and Sagar Adani to make the respective civil penalty payments within 30 days after entry of the judgment.

Adani Green Energy Says No Material Adverse Impact

Adani Green Energy clarified in its exchange filing that the company itself is not a party to the SEC proceeding and that no charges have been brought against the company.

The company further stated that the allegations in the civil complaint involved Gautam Adani and Sagar Adani, who are directors of the company, and alleged violations of certain provisions of the US Securities Act and Securities Exchange Act, as well as aiding and abetting alleged violations by Adani Green Energy.

Importantly, Adani Green Energy stated that there is no material adverse impact on the financial, operational or other activities of the company.

The final judgment documents also state that the court will retain jurisdiction for the purpose of enforcing the terms of the final judgment.
