Entry Into Assam and North-East India

Arya Wellness Centre was established in 2021 as a Joint Venture/AOP between NEMRIL and HRPL. The centre is located on GS Road in Guwahati, within a prominent healthcare hub surrounded by several leading hospitals.

The centre provides an integrated range of diagnostic services covering both radiology and pathology. Its capabilities include MRI, CT scans, ultrasound, mammography, X-ray, pathology tests, high-end interventional radiology procedures and histopathology.

Strong B2C Business With Rs 26 Cr Revenue

Arya Wellness Centre operates a single diagnostic centre and has developed a strong B2C-focused business, with more than 85 per cent of its revenue generated from the B2C segment. The business is supported by an experienced team of doctors with strong clinical credentials.

In FY26, Arya Wellness Centre recorded revenue from operations of approximately Rs 26 crore. Pathology contributed 56 per cent of the revenue, while radiology accounted for the remaining 44 per cent.

The business reported IND AS EBITDA of Rs 5.6 crore and IND AS Adjusted PAT of Rs 2.5 crore during FY26.

Acquisition Valuation and EPS Impact

According to Vijaya Diagnostic Centre's Chief Financial Officer Narasimha Raju KA, the acquisition reflects the company's disciplined approach to capital allocation and focus on creating long-term shareholder value.

The transaction has been structured as a slump sale through the execution of a BTA at a valuation of approximately 8–9x FY26 IND AS EBITDA. The company expects the acquisition to be EPS accretive from the outset.
