Under the proposed “Prabhat Oils” division, Gujarat Cotex plans to explore opportunities in the edible oils and refined oils sector. The proposed activities may include trading, processing, refining, job work and other allied activities related to edible and refined oils.

The company stated that the proposed division is intended to leverage the recognition and goodwill associated with the “Prabhat” brand, along with the relevant business experience of the promoter group. Gujarat Cotex aims to build a scalable presence in the edible oils segment through the proposed business division.

Prabhat Infratech Division

The company has also proposed establishing “Prabhat Infratech” to explore opportunities in the Real Estate and infrastructure sector. The proposed division may undertake or participate in residential, commercial and apartment development projects, particularly in and around Surat.

Gujarat Cotex also plans to evaluate opportunities in emerging growth destinations, including Dholera Smart City. The company said opportunities will be assessed based on their commercial viability, strategic suitability and long-term potential for value creation.

Diversification Strategy

According to the filing, the proposed establishment of the two divisions is aimed at diversifying Gujarat Cotex's business operations into new sectors, exploring additional revenue and growth opportunities, leveraging the Prabhat brand and promoter experience, and building potential growth platforms in edible oils, real estate and infrastructure.

However, these remain proposals at this stage. The company stated that the proposals will be placed before the Board of Directors at its forthcoming meeting for consideration and approval. Subject to Board approval and completion of applicable statutory, regulatory and other requirements, the company proposes to commence the activities in a phased manner.

Share Price and Volume Action

Gujarat Cotex shares were trading at Rs 3.25, up 4.84 per cent, hitting the upper circuit, while the Nifty 50 index declined 0.32 per cent to 24,287.65.

Trading activity also increased sharply. The stock recorded a volume of approximately 85.30 lakh shares, compared with the 30-day average volume of around 8.93 lakh shares. This means the day's volume was approximately 9.55 times the 30-day average, representing an increase of around 855 per cent over the average volume.

The sharp increase in trading volume alongside the upper-circuit movement comes after the company's announcement of the proposed diversification into edible oils, real estate and infrastructure.
